Global AI Regulation Tracker – Commercial Terms of Service
These terms of service (Terms) relate to:
- the application programming interface (API) service to the Global AI Regulation Tracker (www.techieray.com/GlobalAIRegulationTracker) (Tracker). The API enables you to have real time programmatic access to the global AI regulation news data underlying the Tracker (API Data), such as the ability to search and retrieve news updates based on a given date and/or country;
- the MCP server (MCP Server) to the Tracker, as made available at the endpoint https://mcp.techieray.com/mcp, which allows AI assistants and other MCP-compatible client applications to programmatically query the Tracker's AI regulation data. The data returned by the MCP Server is henceforth referred to as MCP Data;
- the AI search function made available in the chat panel on the Tracker (AI Search), which answers natural language questions about AI regulation using the data underlying the Tracker. The responses returned by AI Search are henceforth referred to as AI Search Data;
- the API Data (as defined above);
- the MCP Data (as defined above);
- the AI Search Data (as defined above);
- the API Code (as defined in clause 1(a)(ii));
- the Documentation (as defined in clause 1(a)(ii));
- the widget component at www.techieray.com/embed/GlobalAIRegulationTracker (Widget). The Widget enables you to incorporate the Tracker as an iframe or embed element into the HTML of your own website;
(collectively, the Services) developed and provided by Raymond Sun (ABN 39 348 769 519) trading as techie_ray® labs (Developer).
The API Data, the MCP Data and the AI Search Data are together referred to as Tracker Data.
Your access to and use of the Services is governed by these Terms. By purchasing a Subscription Plan and/or using the Services, you confirm you have read, understood and agreed to be bound by these Terms. If you do not agree to these Terms, you must not use or access the Services.

Access and use of the Services
- To use the API, you must:
- obtain a valid key by subscribing to one of the offered subscription plans (Subscription Plan); and
- obtain and use the applicable API implementation code (API Code) in accordance with the usage instructions and documentation (Documentation) as made available to you via the Tracker.
- To use the MCP Server, you must connect a compatible client application to the endpoint. Certain features of the MCP Server are made available without a Subscription Plan (Free Tier). Access to the full features of the MCP Server requires a valid key obtained by subscribing to one of the Subscription Plans. These Terms apply to your use of the MCP Server whether or not you hold a Subscription Plan.
- To use AI Search, you must sign in to the Tracker. A limited allowance is made available without a Subscription Plan. The allowance set out in Schedule 1 applies once you sign in using the same email address that holds the Subscription Plan.
- To use the Widget, you must obtain a valid key by subscribing to a Subscription Plan that includes the Widget, or as otherwise provided to you by the Developer.
- A single key issued under a Subscription Plan operates across the API, the MCP Server and, where the Subscription Plan includes it, the Widget. The API and the MCP Server draw on the one Usage Limit for calls set out in Schedule 1.
- The Subscription Plans, including their respective fee (Subscription Fee), usage limits (Usage Limits), permitted purposes (Permitted Purpose), restricted purposes (Restricted Purposes) and support (Support), are set out in Schedule 1.
- You are responsible for keeping your key confidential and secure, noting the risk described in clause 7(b)(ii).
- To use the API, you must:

Intellectual property and licence
- Subject to clause 2(b), nothing in these Terms grants you or any third party any intellectual property rights or other right, title or interest in or to the Tracker, API, API Data, API Code, MCP Server, MCP Data, AI Search, AI Search Data, Widget and Documentation. The Tracker and Services, subject to any third party rights therein, are and will remain the intellectual property of the Developer.
- Subject to your compliance with these Terms, the Developer grants you a limited, revocable,
non-exclusive, non-transferable and non-sublicensable right to use:
- the Services for the applicable Permitted Purpose of your Subscription Plan; and
- the API Code and Documentation for the purposes of using the API under clause 2(b)(i).
- You acknowledge the MCP Server is designed to be queried by AI assistants and other client
applications, and that AI Search is itself an AI generated response function, each of which may
generate output that incorporates, summarises or is derived from Tracker Data (AI Output).
The Developer does not claim ownership of an AI Output as a whole. However:
- all right, title and interest in and to the Tracker Data (including its selection, arrangement, compilation, labels, categorisations and summaries) remains with the Developer, whether that Tracker Data appears in its original form or as incorporated into, summarised or reproduced within an AI Output;
- the restrictions in clause 5 continue to apply to Tracker Data contained in an AI Output as if it were Tracker Data received directly from the Services; and
- nothing in this clause 2(c) grants you any right to use Tracker Data other than as expressly permitted under clause 2(b).

Feedback
- You agree, on reasonable request from the Developer, to provide feedback to the Developer on the Services, and the Developer is free to use any feedback you provide in relation to the Services. You hereby assign to the Developer all intellectual property rights, if any, in such feedback.

Your responsibilities
- You are responsible for all acts and omissions by you or any end-user in connection with the Services. Any act or omission by your end-user that would constitute a breach of these Terms if done by you will be deemed a breach of these Terms by you. You must use reasonable efforts to ensure any end-users are aware of and comply with these Terms.
- You acknowledge the Services are not designed to collect personal information. You must not input any personal information or any information that may reasonably identify an individual into the Services.
- You will use reasonable efforts to safeguard the Services from infringement, misappropriation, theft, misuse, or unauthorised access. You will promptly notify the Developer if you become aware of or reasonably suspect any unauthorised access to the Services.

Use restrictions
- You must not, and must not permit any third party (including end users) to use the Services for the applicable Restricted Purposes of your Subscription Plan.
- Without limiting the Restricted Purposes of your Subscription Plan, and except to the extent
expressly permitted by the Permitted Purpose of your Subscription Plan or otherwise under these
Terms, you must also not, and must not permit any third party (including end-users) to:
- copy, modify, or create derivative works of the Services, in whole or in part;
- rent, lease, lend, sell, sublicence, assign, distribute, publish, transfer, re-host, stockpile, or otherwise make the Services available;
- reverse engineer, disassemble, reverse compile, decompile, decode, translate, engage in code extraction or stealing attacks, or otherwise attempt to extract, derive, or gain access to any software component (including source code, algorithms or services) of, or any data processed by, the Services, in whole or in part (except to the extent such restriction is contrary to applicable law);
- use the Services to train, develop or distribute a tool or product in a manner that is, or is reasonably likely to be, competitive with the Services or the Tracker;
- systematically accumulate, cache, index or store Tracker Data (including across multiple queries or AI Outputs) in a manner that creates, or is reasonably likely to create, a substantial reproduction of the Tracker dataset or any material part of it;
- use the Services in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law or regulation;
- introduce any virus, worm, defect, Trojan horse, malware, or any item or action of a destructive or disruptive nature to the Services or to the Developer;
- use unreasonable bandwidth, or adversely impact the stability of the Services;
- attempt to circumvent any limitation imposed on the Services (including circumventing the Usage Limits and paywalls on the API, the MCP Server or AI Search, or querying the MCP Server in a manner designed to obtain paid-tier fields or cross-country results on the Free Tier);
- use the Services in any manner that engages in, depicts or encourages fraudulent or illegal acts or activities, or involves discrimination, culturally insensitive or inappropriate content, violence, obscenity, pornography, libel or slander, abusive words, misleading or deceptive content, prohibited financial/funding schemes, or anti-law enforcement goods and services;
- use the Services to provide legal or any other professional advice; and
- access or use the Services in a prohibited country, as defined by applicable trade and export laws of the United States, or other applicable international law instrument from time to time. For the avoidance of doubt, this restriction applies to entities or countries covered by US sanctions.
- Where you publish or externally distribute any Tracker Data, or any AI Output incorporating Tracker Data, to the extent permitted by your Subscription Plan, you must attribute the Global AI Regulation Tracker (www.techieray.com/GlobalAIRegulationTracker) as the source. The attribution must be visible to the recipient of that publication or distribution.
- The rights granted under the Commercial Subscription Plan do not permit you to resell Tracker Data as a standalone dataset, or to offer Tracker Data in a manner that operates as a substitute for the Tracker.

Fees and payment
- You agree to pay the applicable Subscription Fee for the Subscription Plan.
- The Subscription Fee may be subject to change, and the Developer will notify you of any such changes in advance.
- Payments for the Subscription Fee will be processed through a third-party payment provider as specified on the Tracker and subject to the terms and conditions of that provider. You are responsible for providing any accurate and up-to-date payment information where required.
- The Subscription Fee is billed on a recurring basis, according to the billing cycle applicable to the Subscription Plan. Payments are due at the start of each billing cycle.
- You may cancel your Subscription Plan at any time by the instructions set out on the Tracker, and cancellation will take effect at the end of your current billing cycle, after which you will lose access to the Services and will no longer be charged the Subscription Fee unless you re-subscribe. Refunds will not be provided except as required by applicable laws.
- If you fail to make a payment of any undisputed amounts of the Subscription Fee, the Developer reserves the right to suspend or terminate your access to the Services until the outstanding balance is settled. Any disputed amounts will be handled in accordance with the dispute resolution process in clause 9(d).

Liability and disclaimers
- The Services are provided on an 'as is' basis. To the maximum extent permitted by law, the Developer makes no guarantee or express or implied warranty in respect of the accuracy, completeness, currency, suitability, adequacy, continuity, security or fitness for the purpose of the Services.
- Without limiting any other part of these Terms, you acknowledge and agree:
- any use of the Services is at your sole risk;
- anyone who knows your key may gain unauthorised access to your instance of the API, the MCP Server, AI Search or the Widget, including the ability to exhaust your Usage Limits, cancel your Subscription Plan or cause you to be in breach of these Terms;
- the Services may, from time to time, be unavailable, for example due to scheduled or unscheduled maintenance, and the Developer does not guarantee a specific or minimum availability of the Services;
- the Developer does not provide any service support, for example help desk support, for the Services other than the Support included in the applicable Subscription Plan;
- the Developer is not responsible for verifying and backing up any Tracker Data that you receive from the Services;
- the Developer does not guarantee the Services will be free of technical interruptions, viruses or other defects;
- where you access the MCP Server through a third-party AI assistant or client application, your queries and the resulting MCP Data will be processed by that third party under its own terms, over which the Developer has no control and for which the Developer is not responsible; and
- the Developer does not warrant that any AI Output incorporating Tracker Data accurately reflects that Tracker Data, and you are responsible for verifying any AI Output against the underlying source.
- To the maximum extent permitted by law, either party is not liable to the other for any consequential loss, including loss of revenue or profit, loss of data or loss of opportunity. Each party's total liability to the other for any other loss or claim under these Terms is limited to the total amount of Subscription Fees, if any, paid by you to the Developer under these Terms over the 12 month period prior to the event giving rise to the liability. This clause does not limit guarantees that may come with the Services and cannot be excluded under applicable law. This clause does not limit your termination right under clause 8(c).
- You agree to compensate the Developer for any loss that the Developer suffers or incurs as a result of a third party claim resulting from your knowing breach of clauses 2(b) and 5. This clause does not limit the Developer's termination right under clause 8(b).

Termination
- These Terms will continue in effect until terminated in accordance with the terms below.
- The Developer may terminate these Terms or temporarily limit, revoke, including by cancelling your
access to the Services, or suspend your ability, in whole or in part, to interact with the Services
immediately on notice to you if:
- you breach any of the restrictions in clause 5;
- you breach any other part of these Terms, and, if such breach is capable of remedy, you do not rectify the breach within 10 days of being notified to do so;
- there is a material change or disruption to the Developer's third party systems which affects the Developer's ability to provide the Services, but without limiting the Developer's right in clause 9(a); or
- the Developer in its sole discretion ceases or otherwise changes the availability of the Services.
- You may terminate these Terms at any time by cancelling your Subscription Plan in accordance with the process set out in clause 6(e).
- Upon termination of these Terms for any reason, all licences and rights granted to you under these Terms will also terminate. Clauses 2(a), 2(c), 5, 7, 8 and 9 will survive termination.

General
- The Developer may modify any part of the Services from time to time.
- Nothing in these Terms creates an agency, partnership, joint venture or employment relationship.
- These Terms and any dispute arising out of or in connection with these Terms is governed by the laws of New South Wales, Australia.
- In the event of any dispute arising out of or relating to these Terms, the parties will first attempt to resolve the matter through good faith informal communications over email. If the dispute is not resolved within 30 days, the parties agree to submit the dispute to mediation, conducted by a mutually agreed-upon mediator. If the mediation fails to resolve the dispute within 60 days, the matter will be finally resolved by arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration. The decision of the arbitrator(s) will be final and binding.

One Subscription Plan covers AI Search, the API, the MCP Server and, where stated, the Widget. The API and the MCP Server draw on the same monthly call allowance.

Definitions used in this Schedule
- Personal use
- Use by an individual for non-commercial, private purposes.
- Internal organisational use
- Use within an organisation solely for its own internal operations and not for commercial gain from external parties.
- Commercial use
- Use that is intended to benefit external parties, for example customers, clients or the public, with the primary goal of generating revenue, profit, or other commercial advantages.
- No public distribution of Tracker Data
- The data returned by the API, the MCP Server or AI Search must not be distributed externally, whether for commercial or non-commercial purposes.
- Public distribution of Tracker Data with attribution
- The data returned by the API, the MCP Server or AI Search may be distributed externally, including to your own customers and to the public, provided every such distribution attributes the Global AI Regulation Tracker in accordance with clause 5(c). This does not permit the conduct described in clause 5(d).
- Widget included
- The Widget may be embedded using a key issued under the Subscription Plan. Use of the Widget follows the Permitted Purpose and Restricted Purposes of that Subscription Plan.
- Email FAQ support
- Replies to your reasonable queries via email within a reasonable timeframe, but does not include service levels, service credits, fixes, upgrades or other developer support.
- No support
- There is no obligation on us to reply to your queries, but subject to our discretion.
